These Terms of Service (“Terms”) are a legal agreement between you and Samurvi LLC(“Samurvi,” “we,” “us,” or “our”) governing your access to and use of the Samurvi business dashboard, including any integration with QuickBooks Online (the “Service”). By creating an account or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Description of Service
Samurvi is a business-intelligence dashboard for martial arts school owners. It aggregates student, attendance, financial, and marketing data — including data synced from QuickBooks Online with your authorization — into reporting, health scoring, and forecasting tools. The Service is intended to support business decision-making and is not a substitute for professional financial, tax, legal, or accounting advice.
2. Accounts
You must provide accurate information when creating an account and are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us promptly of any unauthorized use of your account.
3. License Grant
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes. This license does not include any right to resell, sublicense, or provide the Service to third parties as a standalone product.
4. Acceptable Use
You agree not to:
- Reverse engineer, decompile, or attempt to extract the source code of the Service, except where permitted by law.
- Use the Service to violate any applicable law or the rights of any third party.
- Interfere with or disrupt the integrity or performance of the Service, including through excessive automated requests, scraping, or scanning.
- Attempt to gain unauthorized access to the Service, other accounts, or connected systems, including QuickBooks Online data belonging to other users.
- Use the Service to process data you are not authorized to access or share, including student or family data collected without appropriate consent.
5. Intellectual Property
The Service, including its software, design, branding, and underlying technology, is owned by Samurvi LLCand its licensors and is protected by intellectual property laws. Nothing in these Terms transfers ownership of the Service to you. As between you and us, you retain all rights to the business data you input into the Service or that is synced from your QuickBooks Online account (“Customer Data”). You grant us a limited license to use, process, and display Customer Data solely to provide and improve the Service to you.
6. Third-Party Integrations
The Service integrates with QuickBooks Online, a service provided by Intuit Inc. Your use of QuickBooks Online is governed by Intuit's own terms of service and privacy policy, which are separate from these Terms. You are responsible for maintaining your QuickBooks Online account in good standing and for granting and revoking Samurvi's access as you see fit. We are not responsible for the availability, accuracy, or performance of QuickBooks Online or any other third-party service, or for any changes Intuit makes to its API or authorization process that affect the Service.
7. Fees
Certain features of the Service may require a paid subscription. Applicable fees, billing frequency, and payment terms will be presented to you at sign-up or in a separate order form and are incorporated into these Terms by reference. Fees are non-refundable except as required by law or as we expressly state.
8. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or that all data synced from QuickBooks Online will be complete or accurate. Health scores, forecasts, and other analytics are informational and do not constitute financial, tax, legal, or accounting advice; you remain responsible for decisions made using the Service.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SAMURVI LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
10. Indemnification
You agree to indemnify and hold harmless Samurvi LLCand its officers, employees, and agents from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.
11. Termination
You may stop using the Service and close your account at any time. We may suspend or terminate your access to the Service if you breach these Terms, if required by law, or if we discontinue the Service, with notice where reasonably practicable. Upon termination, your right to use the Service ends immediately; we will handle any retained Customer Data in accordance with our Privacy Policy.
12. Governing Law
These Terms are governed by the laws of the State of California, United States, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the state and federal courts located in California.
13. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will update the “Last updated” date above and, where appropriate, notify account holders directly. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
